Acceptance of these Terms
These Terms & Conditions (“Terms”) govern your access to and use of the Proxy Foods website and any related content, materials, documents, forms, communications, and services (collectively, the “Services”).By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
If you are using the Services on behalf of a company or other organization, you represent and warrant that you are authorized to accept these Terms on behalf of that entity. In that case, “you” refers to both you as an individual and that entity.

You must be at least 16 years old to use the Services. If you are under the legal age of majority in your place of residence, you may only use the Services with the involvement and consent of your parent or legal guardian.Use of the Services
You agree that you will NOT:
Use the Services for any unlawful, fraudulent, infringing, or harmful purpose;
Attempt to gain unauthorized access to any systems, data, accounts, or networks;
Interfere with, disrupt, or degrade the operation, security, availability, or performance of the Services;
Use any scraper, crawler, bot, spider, or other automated means to access, copy, index, or collect data from the Services (except where such restrictions are prohibited by applicable law);
Reverse engineer, decompile, disassemble, or attempt to derive source code, formulas, recipes, or underlying ideas from the Services (except where this is permitted by applicable law despite this restriction).
We may suspend or terminate your access if we believe you have violated these Terms or are creating legal, operational, or security risk. See Section 12 (Termination / Suspension).
Accounts and Security
Some parts of the Services may require you to create an account, request credentials, or log in to a portal.You agree that you will NOT:
Provide accurate, current, and complete information;
Keep your login credentials confidential and secure;
Notify us promptly if you believe your account has been accessed without authorization;
Accept full responsibility for all activity that occurs under your account.
We reserve the right to refuse, suspend, or terminate any account at our discretion.
Product Information, Nutrition, Allergens, and Regulatory Status
Information we publish on the Services — including ingredients, nutritional data, allergen statements, labeling guidance, usage suggestions, regulatory classifications, certifications, pricing, availability, or similar content — is provided for general informational and marketing purposes only.Important:
Food formulations, labeling requirements, allergen disclosures, and regulatory classifications can vary by jurisdiction, application, and end product.
We do not guarantee that any ingredient, formulation, nutritional statement, allergen disclosure, regulatory classification, shelf life, claim, or other product information shown through the Services is complete, up to date, or appropriate for your intended use, labeling, or market.
You are solely responsible for independently validating suitability, safety, labeling, allergen status, and regulatory compliance for your specific product or use case before relying on information from the Services.
Any actual sale of goods or services by Proxy Foods will be governed by a separate written agreement (such as a sales agreement, supply agreement, purchase order, or statement of work). If there is a conflict between these Terms and that separate written agreement, the separate written agreement will control.
Intellectual Property
Unless otherwise stated, all materials available through the Services — including text, data, images, graphics, photos, logos, design elements, product concepts, nutritional charts, ingredient descriptions, software, code, audio/video clips, and other content (collectively, the “Content”) — are owned by or licensed to Proxy Foods and are protected by U.S. and international intellectual property laws.You may:
View the Content for your personal or internal business use only.
You may NOT (without our prior written consent):
Copy, reproduce, distribute, publicly display, modify, translate, or create derivative works from the Content;
Use our trademarks, trade names, trade dress, logos, or branding;
Use any automated tools to download, scrape, or mass-collect Content from the Services.
All rights not expressly granted are reserved.
Feedback and Submissions
If you send us any suggestion, concept, formulation, recipe, tasting feedback, improvement idea, feature request, comment, question, or other material (collectively, “Feedback”), you agree that:You provide it voluntarily and without restriction;
Proxy Foods may use, reproduce, disclose, adapt, display, develop, commercialize, and otherwise act on the Feedback in any way, worldwide, without compensation, credit, or obligation to you;
You waive any claim that our use of the Feedback violates your rights, including intellectual property or moral rights.
Do not submit confidential or proprietary information to us unless we have a separate, signed non-disclosure agreement (NDA) in place.
Third-Party Links, Tools, and Partners
The Services may link to or integrate with sites, platforms, tools, resources, or services that are not operated or controlled by Proxy Foods.We are not responsible for, and we disclaim liability for:
The content, accuracy, terms, policies, or security practices of those third parties; or
Any loss or damage that results from your use of them.
Your use of any third-party service is at your own risk and may be subject to that third party’s terms and privacy policy.

THIS INCLUDES (WITHOUT LIMITATION) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, OR AVAILABILITY.WITHOUT LIMITING THE ABOVE: WE DO NOT GUARANTEE THAT ANY INGREDIENT, FORMULATION, NUTRITIONAL STATEMENT, ALLERGEN DISCLOSURE, REGULATORY CLASSIFICATION, SHELF LIFE, CLAIM, OR OTHER PRODUCT INFORMATION SHOWN THROUGH THE SERVICES IS COMPLETE, CURRENT, OR APPROPRIATE FOR YOUR INTENDED USE, LABELING, OR JURISDICTION. YOU ALONE ARE RESPONSIBLE FOR EVALUATING SUITABILITY, SAFETY, COMPLIANCE, AND ANY REQUIRED REGULATORY APPROVALS OR LABELING CLAIMS FOR YOUR PRODUCTS.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PROXY FOODS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, SUPPLIERS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES OR ANY CONTENT — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.TO THE EXTENT WE ARE FOUND LIABLE DESPITE THE ABOVE, OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:

(2) ONE HUNDRED U.S. DOLLARS (USD $100.00).Some jurisdictions do not allow certain liability limitations. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Proxy Foods and its officers, directors, employees, affiliates, agents, suppliers, and partners from and against any claim, demand, liability, damages, loss, or expense (including reasonable attorneys’ fees) arising out of or related to:
• Your use of the Services or Content;
• Your violation of these Terms;
• Your violation of any law, regulation, or third-party right; or
• Your misuse, misapplication, or mislabeling of any product information, formulation guidance, nutritional or allergen data, or regulatory status obtained from the Services.Termination / Suspension
We may suspend or terminate your access to some or all of the Services, with or without notice, at any time, if we believe (in our sole discretion) that:
• You violated these Terms; or
• You created security, legal, or reputational risk for us; or
• We are required to do so by law, regulation, or government request.You may stop using the Services at any time.
Sections that are intended to survive termination — including but not limited to Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law / Dispute Resolution — will continue to apply even after termination.
Governing Law - Dispute Resolution
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services (whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory) will be governed by the laws of the District of Columbia, United States, without regard to conflict-of-law principles.You and Proxy Foods agree that any legal action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Washington, D.C., and you consent to the personal jurisdiction and venue of those courts.
If you are a consumer and applicable law in your place of residence gives you non-waivable rights to bring claims elsewhere, this section is not intended to limit those rights.
Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page.By continuing to access or use the Services after any changes become effective, you agree to the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

These Terms (together with any separate, signed written agreement between you and Proxy Foods covering product supply, purchase, formulation work, R&D, or similar) form the entire agreement between you and Proxy Foods regarding the Services, and supersede any prior or contemporaneous understandings, proposals, or communications — whether oral or written — about the same subject.
If there is a direct conflict between these Terms and a signed written agreement between you and Proxy Foods, that signed written agreement will control.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.Assignment
You may not assign, transfer, or delegate these Terms, or any rights or obligations under them, without our prior written consent.
We may assign or transfer our rights and obligations under these Terms, in whole or in part, without notice, including as part of a merger, acquisition, corporate reorganization, or sale of assets.
